Fiduciary Duties in the Oversight of Strategy Execution
Implement Recommendation 1 from the NACD 2026 Blue Ribbon Commission report: Anchor oversight on strategy, execution priorities, and outcomes.
How to use this tool: Directors of public, private, and nonprofit organizations can use this reference to understand how their core fiduciary duties apply specifically to the oversight of strategy execution. This tool describes the requirements of the duty of care, the duty of loyalty, and the duty of oversight as applied to oversight of strategy execution, and the process markers and red lines that help directors assess whether they are fulfilling those duties.
Fiduciary duties, associated standards, and business judgment rules are not abstract legal obligations. They are active standards that shape how directors make and oversee the most consequential decisions facing an organization, including whether strategy execution is on track and what the board should do when it is not.
Understanding these duties in the context of strategy execution oversight is essential for every director, regardless of entity type or governance maturity. Some boards should consider forming special committees of independent and/or disinterested directors when an execution matter implicates conflicts of interest or independence concerns—circumstances in which the full board’s deliberations may otherwise be subject to entire fairness review—or when discrete matters require more focused attention. Directors should consult legal counsel regarding the legal standards applicable to their specific situation.
