About The Event
Over the past 25 years, the number of publicly-listed companies has fallen by more than 50%, while the number of private companies—particularly those in private equity portfolios—has surged dramatically. As a result, the number of Board memberships in private companies has grown significantly. This has led to an increase in opportunities for joining the Boards of private companies, raising a number of important questions.
Our panelists discussed several key topics essential for corporate directors:
-
How are the qualifications for serving on a private-company Board different, if at all, from serving on a public-company Board?
-
How are the expectations from and the compensations for private-company Board members different from those of public-company Board members?
-
How are the oversight, accountability and governance of private-company Boards different from those of public-company Boards?
-
Substantively, how and to what extent are private-company Board members engaged with their companies differently from Board members of public companies (e.g. less focus on regulatory compliance and more focus on operations and perhaps even on strategy)?
-
Most pointedly, what, if anything, can public-company Boards learn from private-company Board compositions and best practices? And vice-versa?
