Complementing the guidance of the 2025 NACD Blue Ribbon Commission Report on Building a High-Trust Board-CEO Relationship, this boardroom tool provides practical guidance for implementing Recommendation #3: Strengthen the independent board leader’s role as the linchpin in the relationship.

How to use this tool: The independent board leader is a key liaison between independent directors and the nonindependent board chair (e.g., a joint CEO-board chair). As such, the role is the linchpin for an effective board-CEO relationship. This tool outlines requirements for a board leadership position specification, which may be additive to recruitment efforts and can help identify warning signs of issues to pay closer attention to during the evaluation and renomination process. 

Independent Board Leader: The Essentials 

  • Leadership Experience: Proven leadership experience, preferably as a CEO, senior executive, or board chair
  • Board Experience: Significant prior experience in serving on boards of comparable organizations (e.g., publicly traded companies or private companies), with a deep understanding of corporate governance and the role of the board
  • Strategic Insight: Ability to provide strategic guidance and oversight, with a strong grasp of the industry, market dynamics, and financial and competitive landscapes
  • Time Commitment: Willingness and ability to dedicate sufficient time to fulfill the responsibilities of the role
  • Ethics and Integrity: High ethical standards and integrity, with the courage to do the right thing for the right reasons, particularly when it may be most difficult
  • Communication Skills: Excellent communication and active listening skills, with the ability to effectively liaise between the board and management and to represent the board to stakeholders
