The National Association of Corporate Directors Chapters from Philadelphia and New England are co-leading a program on the upcoming proxy season.
This panel will focus on key issues for companies and boards in the upcoming Proxy Season. It highlights essential areas, such as governance and compensation trends, shareholder engagement, and critical topics in legal, accounting, and proxy services. The panel will cover regulatory and disclosure requirements impacting board composition, candidate selection, and performance compensation. It also addresses the evolving role of Board Directors and expected SEC regulations. Additionally, the panel will focus on the increasing engagement by institutional shareholders with management and boards, as well as evolving areas of concern for investors more broadly, such as AI and cyber security, emphasizing the need for directors to understand potential challenges and prepare accordingly.
