Hot Topics for the 2024 Proxy Season

The NACD New England and NACD Philadelphia Chapters are co-leading a program on the upcoming Proxy Season. Proxy issues continue to expand demands and risks for the Board and the company. 

The Panel will focus on the KEY ISSUES Companies and Boards will be facing in the upcoming Proxy Season. Key areas include: Compensation; ESG and Shareholder Engagement. Specifically included will be recently effective regulatory and disclosure requirements affecting board composition, candidate slates and performance compensation. The panel will provide an overall understanding about what has changed in the world of Board Directors over the past year that will directly influence the approach to the Proxy Season. In addition, the panel will discuss potential impacts of new regulations expected from the SEC along with increased scrutiny of existing requirements including ESG areas (Environment; Social and Governance). As Institutional Shareholders continue their efforts to influence and focus the Boardroom on such issues as DE&I and Climate change impacts, they are further increasing their active engagement with both Management and Boards in various ways.
