About The Event
Join us for a one-on-one discussion with Sean Donahue, Co-chair of the Shareholder Activism & Takeover Defense practice at Paul Hastings, on the state of shareholder activism so far in 2024. As the annual proxy season in the U.S. begins to wind down, Sean will offer his observations on another year of trends in the activist campaigns for board representation during the second year of "universal proxy."
With Proxy fights at large-cap names like Starbucks, Disney, and Norfolk Southern drawing substantial attention this year, what should directors of companies across the market cap spectrum be focusing on the avoid being an activist's next target? What additional tools are activists relying on today, and how can companies level up their own practices? What lessons can directors take away from Sean's decades of experience as a practitioner?
Moderated by Glenn Booraem, this program promises to delve into the world of shareholder activism from the perspective of two highly engaged industry experts. Mr. Booraem, an NACD Philadelphia Chapter board member, also serves the head of Investment Stewardship Research & Policy at Vanguard and is the Industry Chair at the Raj and Kamla Gupta Governance Institute at Drexel University's LeBow College of Business.
