About The Event
As participants made their way through the proxy season and began to see trends emerge, subject matter experts from Meridian Compensation Partners initiated the discussion on proxy season priorities.
Say on Pay Voting Results: While still early in the season, results were trending slightly more favorably than in prior years at that time. Results tended to ebb and flow throughout the cycle. The experts provided updated statistics during the session, as well as trends in failure rates, proxy advisor influence, and other lessons learned.
-
What challenges had companies faced (if any) with Say on Pay votes during that proxy cycle?
-
What were the lessons learned?
Shareholder Proposals: Compensation committees could gain critical insights into the concerns of companies' shareholders and broader stakeholders by reviewing trends in shareholder proposals. The discussion reviewed outcomes of proposals that had gained traction during the 2023 proxy season, as well as those that had fallen short, and explored participants' experiences with some of the more common proposals.
-
Which shareholder proposals had gained the most support during that proxy cycle?
-
What were the hot buttons for investors, and what program designs or policies should have been avoided?
-
What were the lessons learned?
Impact of the New Disclosure Rules: Senior leaders and compensation committees had worked over the preceding months to prepare for two new disclosure rules issued by the SEC in late 2022: Pay versus Performance (“PvP”) disclosure, which was already in effect, and Mandatory Clawbacks, which were expected to be approved in the following months. The discussion covered trends from recent PvP disclosures, as well as how companies were planning to handle the new Mandatory Clawback rules from a practical standpoint.
-
Should companies have maintained existing (usually discretionary) clawback provisions or replaced them with a new mandatory policy?
-
Had the new PvP disclosure rules had any implications for program design?
Broader Remit of the Compensation Committee: The role of the Compensation Committee continued to expand, with additional time and energy spent on areas such as diversity, equity and inclusion, employee engagement, leadership and talent development, and succession planning. The discussion explored how compensation committees could shape agendas, charters, and meeting materials to maintain a healthy balance between oversight and management.
-
How often were boards discussing broader human capital topics?
-
Was this typically a Compensation Committee agenda item or a broader board topic?
