Transitioning Off a Board: When and How?

As directors we know that service on the board may be subject to term limits, however a director may decide to resign from the board before their term is over. The decision to step aside from a board can be just as important as the decision to join.
Leaving a board should never be a snap decision and circumstances may be different for everyone. This session will explore how directors can think about whether to leave a board and why and what the fiduciary and legal considerations might be.
Drawing from research and insights from various board publications, discussions with other directors and their personal experience(s), NACD Carolinas Board member Catharine de Lacy and NACD member, Chris Melton will lead a discussion through key questions to ask about stepping down from a board and how to resign.
Learning Outcomes

Understand the strategic, fiduciary, and legal considerations involved in stepping off a board, including how a director’s duty of care and loyalty informs the decision to resign before a term concludes.

Learn a structured approach to evaluating whether and when to leave a board, using key questions, reflective practices, and insights drawn from director experiences and governance research.

Gain practical guidance on how to resign responsibly and professionally, ensuring continuity, minimizing disruption, and maintaining strong relationships with fellow directors and the organization.
