M&A is one of the most consequential decisions a board makes, yet the greatest risks often emerge after the deal is signed. What should directors be asking that too often goes unasked?
Beyond validating strategy and financials, boards and their compensation committees need to assess whether leadership is equipped to deliver on the deal thesis and whether incentives are aligned with shareholder outcomes.
This session will focus on how directors can oversee execution through talent management, succession planning and incentive design, while maintaining independent judgment during fast-moving transactions and staying engaged through integration.

This event will begin with a reception followed by a dinner where subject matter expert from Pearl Meyer, Patrick Haggerty,and Peter Thies and fellow board members Catharine de Lacy and Terry Grayson-Caprio will lead a peer-to-peer discussion. They will examine the governance, leadership, culture, and compensation decisions that influence deal success—from evaluating strategic and organizational fit during due diligence to overseeing integration and long-term value creation after closing.
