M&A is one of the most consequential decisions a board makes, yet the greatest risks often emerge after the deal is signed. Beyond validating strategy and financials, boards and their compensation committees need to assess whether leadership is equipped to deliver on the deal thesis and whether incentives are aligned with shareholder outcomes.
This session will focus on how directors can oversee execution through talent management, succession planning and incentive design, while maintaining independent judgment during fast-moving transactions and staying engaged through integration.
