KATIE LAVOY regularly advises on matters of corporate governance, SEC disclosure requirements, and executive compensation. Katie is a trusted advisor to public companies on a broad range of securities law matters, including: SEC periodic reporting obligations and disclosure best practices; proxy statements, shareholder proposals and annual meeting requirements; Regulation G and non-GAAP financial measures; Regulation FD and shareholder communications; Section 16 reporting; stock exchange requirements; and expectations of proxy advisors and institutional shareholders, including “beyond compliance” disclosure in proxy statements and other regulatory documents. Katie’s practice also includes counseling boards and senior management of public companies and highly regulated private companies on corporate governance program design, implementation and review, board composition and structure, fiduciary duties, board evaluations and executive compensation matters as well as highly sensitive and unusual governance matters. She also advises companies on ESG and sustainability disclosure, communications and engagement strategies. Prior to joining Sidley, Katie served as Senior Vice President, Chief Legal Officer, Chief Compliance Officer and Corporate Secretary of a publicly traded maritime corporation. In this role, Katie regularly counseled the board of directors and executive management on matters relating to corporate governance, securities compliance, government contracting and international operations. Katie also served as Chief Legal Officer and Corporate Secretary of an international electric vehicle manufacturer. Katie began her legal practice as a litigation attorney at another U.S. based international law firm where she focused on commercial litigation and patent litigation. Katie holds an Executive MBA degree from Northwestern University’s Kellogg School of Management and graduated cum laude from Northwestern University’s Pritzker School of Law. She received an undergraduate degree with distinction in Business Administration from the University of North Carolina, Chapel Hill. Katie is a frequent speaker and writer on topics related to corporate governance, SEC disclosure, ESG matters, and finance for lawyers.
