As a Board Director, Amy brings expertise in corporate strategy, corporate governance, board composition/compensation, CEO succession, recruitment, activist hedge-fund campaigns, divestitures, acquisitions, global expansion, diversity, operational excellence, talent management and financial expertise valuable to high performing organizations.
Amy Hillman is a seasoned public and private company director. Amy served as Independent Director and Chair of the Nominating and Governance Committee of Nasdaq-traded CDK Global from its spinout in 2014 until the firm went private in 2022. During this time, she was instrumental in the establishment of governance bylaws, board composition and compensation practices and over her 8 years, led the growth and selection of an expanding board the skills needed to advance the strategy of the firm. While on the board of CDK the company went through CEO transitions, an activist hedge-fund campaign, divestitures, and acquisitions both domestically and internationally.
Amy also served on the Independent Governance Committee of Amerco, the parent company of U-Haul International (2016-2019). Amerco is a family- and employee-controlled firm, traded on the Nasdaq, operating in the transportation, self-storage, and insurance industries. She served on the board of Bashas’ a family held private firm in the retail grocery industry for four years before the sale to Raley’s in 2022. She currently serves on the boards of B:Side Capital and B:Side Funds, a private firm and fund operating in the Southwest offering small business support, funding and loans.
Amy is a professor of corporate strategy and former dean of the W. P. Carey School of Business at Arizona State University. She received her PhD in Strategic Management and Business & Public Policy, holds an MBA, and is a world-renowned management expert, and active consultant in the areas of corporate strategy, corporate governance and ESG. She leads The New Governance Lab at Arizona State University, a research institute designed to advocate for better forms of governance.
Her operational experience as dean and education qualifies her as a “Financial Expert” by the S.E.C. She holds NACD-Carnegie Mellon Cyber Security Certification and is former President, Academy of Management. With experience living or working in Europe, Canada and China, Amy brings a global perspective to the organizations she serves.
