Donna E. Epps

Independent Director

Donna is a results-oriented, experienced leader who leverages her background in finance, attestation, governance, risk and compliance to excel as a Board member and help companies achieve superior results.  She is a strategic thinker with deep financial expertise and is a qualified financial expert.  She has exceptional interpersonal and team building skills, is capable of resolving varied and complex issues, and motivates teams to achieve peak performance.  Her industry experience includes consumer and industrial products, transportation, distribution, restaurants, energy, technology and telecommunications.

Donna serves as an independent director for SAIA Inc. (NASDAQ:  SAIA), a national transportation company providing regional and inter-regional, less than truckload services.  Donna also serves as an independent director for Texas Pacific Land Trust (NYSE:  TPL), one of the largest landowners in the State of Texas with approximately 900,000 acres of land located in 19 counties in West Texas.  TPL’s water sales, produced water royalties, and surface and royalty ownership allow steady revenue generation through the entire value chain of oil and gas development.  Finally, Donna serves as an independent director for Texas Roadhouse, Inc. (NASDAQ:  TXRH), a growing restaurant company, primarily focused in the casual dining segment, with over 770 locations in 49 states, one US territory and 10 foreign countries.  She serves on the Audit and Nominating and Governance Committees for all three companies and is Chairperson for the Audit Committees of TPL and TXRH.  

Donna worked with clients to proactively assess, design, implement and monitor consistent, sustainable strategic-risk and compliance management programs.  In response to allegations of fraud and/or corruption, she worked with Boards of Directors and Board Committees directing multi-national, forensic- investigative projects and advised clients on related remediation of processes and controls.  She advised and trained Boards on governance matters - including committee structure and responsibilities - with a focus on driving shareholder value.
 
Addressing the increasingly complex and global nature of supply chain and customer-relationship management, Donna led technology development and delivery for a third-party risk management SaaS solution.  She advanced Deloitte’s enhancement of third-party risk management via process and tool selection providing transparency, enabling sustainability and facilitating program oversight and communication.

Donna’s varied 31 years of client service experience included 17 years of providing primarily attest services to public and private companies, including various regulatory filings with the Security and Exchange Commission; leading examinations of regulatory compliance, at the state and federal level, for certain communications companies; working with client management of multi-national public companies in complex, multi-year restatements of financial statements; serving as the lead partner for Sarbanes-Oxley projects for various companies; providing merger and acquisition related services including due-diligence, carve-outs and purchase price disputes; and championing human capital strategies including recruiting and retaining high-talent, developing and training, and diversity and inclusion.  

As Chairperson of the Girl Scouts of Northeast Texas, (“GSNETX”), Donna has actively participated in the oversight of the Council’s largest capital campaign and camp renovation to date.  In response to GSNETX’s growth in operations and receipt of new, federal grants, she has improved Board oversight by facilitating surveys, provision of information and leading workshops.  Donna also serves as Co-Chair of the Sponsorship Committee of the NACD North Texas Chapter Statutory Board and is an active participant in the University of Texas at Dallas Institute for Excellence in Corporate Governance.

Donna obtained her B.B.A. in Accounting from Texas A&M University in May 1986.  She is a Certified Public Accountant licensed in the State of Texas.
