The COSO-NACD Integrated Governance Framework is a practical boardroom tool designed to help directors evaluate how effectively governance responsibilities, information flows, oversight processes, and accountability mechanisms work together across the organization. Rather than treating governance as a set of separate board, committee, risk, or reporting activities, the framework helps directors assess whether these elements are aligned to support sound oversight, informed decision-making, and long-term value creation.
This program will examine how boards can apply the COSO-NACD Integrated Governance Framework to strengthen governance maturity, clarify the respective roles of the board, committees, and management, and improve oversight of strategy, enterprise risk, culture, people, communication, and organizational resilience. The discussion will focus on practical governance questions directors should consider regarding the quality of management reporting, escalation protocols, committee coordination, risk ownership, decision rights, and accountability for follow-through.
Participants will explore how the framework can be used to identify governance gaps, strengthen board and committee effectiveness, and ensure that oversight structures are aligned with the organization’s strategic priorities and risk profile. The session will also address how directors can use the framework as part of year-end board planning to establish governance priorities, refine oversight practices, and prepare for the 2027 governance cycle.
