- In the last 12 months, there has been a lot of debate whether companies should continue to be incorporated in Delaware considering some of the recent rulings by Chancery Court.

- Other states, such as Texas and Nevada, are making aggressive efforts to attract companies to incorporate in their state.

What questions Directors need to ask:
- Should boards reconsider incorporating in other states where directors (& officers) could be better protected?

- What are the pros and cons of such a move? Expenses vs Long term benefits?

- Can other states match the body of expertise developed in Delaware?
