About The Event
Directors gained a practical, board-level roadmap for navigating the sale of a company. Building on Part 1 of the M&A series, this session shifted the lens from buyer to seller and focused squarely on the board’s fiduciary responsibilities when an unexpected offer emerges.
Participants explored the board’s distinct duties in overseeing a sale, from safeguarding shareholder value to managing conflicts of interest and ensuring regulatory compliance. Panelists highlighted common “value leaks” and examined how competitive dynamics, including auctions versus negotiated transactions, can materially influence outcomes. Directors also discussed incentive alignment, the strategic use of outside advisers, and the complexities of disclosure timing to shareholders, employees, customers, and the broader market.
The conversation extended beyond closing, outlining post-sale considerations such as representations and warranties, indemnification, and other continuing legal obligations. Attendees left better equipped to respond decisively and uphold governance excellence when the call comes.
