Compensation Committee Peer Exchange - Bring Your Hot Topics

Mike Marino and Marco Pizzitola of FW Cook will lead a discussion with compensation committee members, along with selected other interested NACD members, on the latest events impacting executive compensation.

The discussion will focus on currently-evolving topics across both executive compensation design and the impact of potential regulatory changes. In particular, both shareholders and proxy advisors have expressed greater tolerance for heavier emphasis on equity awards that are purely service-based, as opposed to performance-based, depending on the length of service required. Among performance-based awards (both short-term and long-term), there is a small but growing practice across multiple industries of considering AI adoption in assessing executives’ performance. From a regulatory perspective, the SEC has proposed significant changes to required executive compensation disclosure. These and other hot topics will be discussed, along with any other specific topics brought to the conversation from the attendees.
