The National Association of Corporate Directors, Chapters from New England and Philadelphia, are co-leading a program on the upcoming proxy season. This program will cover the trends from the 2026 proxy season that are likely to be significant issues in the upcoming, 2027 proxy season. Issues continue to expand and rapidly change, bringing both increasing demands and risks for the Board and the Company.
The Panel will focus on both the KEY ISSUES that Boards and their Companies faced during the 2026 proxy season and those that are likely to be prominent in the 2027 proxy season. Key areas include executive performance and other compensation-related matters; evolving approaches to shareholder engagement; proxy advisory focus areas and practices; updates on SEC and other regulatory and disclosure requirements that affect investors and companies; and proxy disclosures related to Board governance in areas such as director competencies, board and director evaluations, and candidate slates, as well as those related to Board oversight of cybersecurity, AI and emerging technologies. The panel will provide an overall understanding of what has changed in the world of public company governance by Boards over the past year that will directly influence the approaches they should consider for the 2027 proxy season. Of particular importance, the panel will discuss potential impacts of new regulations expected from the SEC, as well as the evolving engagement approaches institutional shareholders are using to influence public company Boards around investor priorities. What do Directors need to know ahead of the upcoming proxy season and for what pitfalls should they prepare?
