Artificial intelligence is evolving rapidly, creating both urgency and uncertainty for companies and their boards. Directors are grappling with fundamental questions starting with a fundamental one: "How can boards help guide the strategic adoption of AI to enable innovation while carefully managing the many risks it poses?"
AI presents both competitive advantages and disruptive challenges—including business model transformation, capital allocation decisions, cybersecurity concerns, workforce implications, and the need for new governance competencies. According to NACD survey data, more than 62 percent of directors are dedicating board agenda time to AI discussions. Yet many boards continue to ask: How can this oversight be structured effectively? How can boards guide AI adoption in ways that advance strategy, create measurable value, and mitigate risk?
This program will focus on board oversight of AI risk, while a companion session will explore how boards can leverage AI to drive strategy and innovation.
Key questions include: What controls and governance frameworks should be in place? What processes and guardrails are essential? How should the board engage in oversight, and who should be responsible? How can directors continue building the knowledge needed to oversee AI effectively?
