Artificial Intelligence: Board Oversight of Risk

Artificial intelligence continues to evolve rapidly, creating both urgency and uncertainty for companies and their boards. Directors explore a central question: How can boards can guide the strategic adoption of AI to foster innovation while managing the risks it introduces?

Participants examined the ways AI is creating both competitive advantages and disruptive challenges, including business model transformation, capital allocation decisions, cybersecurity concerns, workforce implications, and the need for new governance competencies. Drawing on NACD survey data showing that more than 62 percent of directors are dedicating board agenda time to AI discussions, the session addressed the practical challenges boards face in structuring effective oversight. Attendees learned how boards can guide AI adoption in ways that support strategy, create measurable value, and mitigate risk.

The program focused on board oversight of AI risk and provided insights into the governance practices needed to oversee AI effectively. Participants gained a deeper understanding of the controls, governance frameworks, processes, and guardrails that can support responsible AI adoption. They also explored the board’s role in oversight, considerations around accountability and responsibility, and approaches directors can use to continue building the knowledge and expertise required to oversee AI effectively.
