Mary Winston

Ms. Winston is an experienced executive and corporate board member who served as an interim Chief Executive Officer, as well as Chief Financial Officer at three large industry leading corporations. She leverages her executive and financial experience to bring value to the corporate boardroom, where she has years of experience serving as an SEC financial expert. Ms. Winston currently serves on the following public company boards:
Chipotle Mexican Grill (NYSE: CMG) operator of over 4,100 restaurants, with over 140,000 employees and market cap of about $50 billion, where she serves as Chair of the Audit Committee.
Northrop Grumman (NYSE: NOC) a leading global aerospace and defense technology company with market cap of about $80 billion, where she serves on the Compensation and Policy committees.
TD Bank Group and TD US Bank, (NYSE: TD), the second largest bank in Canada with C$2T in assets, and market cap over $200 billion. She serves on the parent company Audit and Governance committees, as well as the TD US Bank Audit Committee Chair and member of the Governance and the Compliance committees.
Winston also serves as Chair of the National Association of Corp Directors (NACD) Board of Directors.
Winston began public board service in 2005 and previously served on the boards of Bed Bath & Beyond Inc (also served as interim CEO), Dover Corp (audit committee chair for 10 yrs), Acuity Inc (audit committee chair for 5 yrs), Domtar Corp, Supervalu Inc. and Plexus Corp. Making broad contributions across these boards she served on their audit, finance, strategy, compensation, EHS&S and nominating & governance committees.
Previously, Ms. Winston served as interim Chief Executive Officer at Bed Bath & Beyond, as well as in three EVP, Chief Financial Officer roles at Family Dollar Stores Inc., Giant Eagle Inc., and Scholastic Corp. Winston served in senior financial roles with Pfizer Inc and at Visteon, and began her career in public accounting at Arthur Andersen & Co.
Ms. Winston combined these experiences in her role as CEO & Founder of WinsCo Enterprises, where she provided financial and board advisory consulting services to large corporations and their board of directors.
Among several honors, Ms. Winston was named one of the “Top 25 Black Directors”, “Most Influential Corporate Directors”, “Most Influential Black Corporate Directors”, “Directors to Watch”, “Most Powerful Women in Business” and “Most Influential People in Finance”. She has appeared on CNBC’s Squawk Box, Bloomberg Business News and has been quoted in Reuters Business News and the Wall Street Journal.
Ms. Winston holds a bachelor’s degree in Accounting and Mgmt Info Systems from the University of Wisconsin, an MBA in Finance, Marketing and International Business from Northwestern University’s Kellogg Graduate School, and is a Certified Public Accountant, as well as an NACD Board Leadership Fellow.
