Michael W. Goodwin is an independent public company director and former Fortune 500 operating executive serving on the boards of Burlington Stores, Inc. (NYSE: BURL) as Chair of the Nominating and Corporate Governance Committee, and Cracker Barrel Old Country Store, Inc. (NASDAQ: CBRL) as Chair of the Compensation Committee. He is a member of the Audit Committee at both companies.

Boards recruit Mr. Goodwin for his combined expertise in CEO succession, executive compensation, governance leadership, cybersecurity, AI, and enterprise risk oversight, paired with three decades of operating credibility leading enterprise technology and transformation across complex consumer enterprises. His perspective is shaped by experience in environments involving heightened shareholder expectations, capital allocation discipline, and operational change.

Mr. Goodwin previously served as Senior Vice President and Chief Information Officer at PetSmart, Inc. (2014–2023), where he led enterprise technology, cybersecurity, and digital commerce across more than 1,650 stores, and as Senior Vice President, Chief Information Officer, and Corporate Officer at Hallmark Cards, Inc. (2006–2014), with global responsibility for IT and supply chain technology across operations in the United States, United Kingdom, Netherlands, Australia, and Japan.

He also serves on the boards of Telecare Corporation and Eckerd Connects. Mr. Goodwin holds a B.S. in Computer Science from the United States Military Academy at West Point and an M.B.A. from the University of Kansas. He is NACD Directorship Certified® with the NACD Cyber Risk Oversight Certification, and is a former Captain in the United States Army Field Artillery.
