Tara Tays

Partner, Pay Governance 

Tays is a partner at Pay Governance. With more than 25 years of compensation experience, she advises management and boards of directors on a wide range of matters, including designing annual and long-term incentive plans aligning to a company's business strategy while balancing executive motivation and shareholder interest. She develops internal compensation policies and procedures promoting good governance and minimizing incentive risk aggravators, and partners with boards on executive employment agreement negotiations and severance arrangements. Tays has extensive knowledge of institutional shareholders and proxy-advisory firms' concerns with executive compensation programs and helps companies improve shareholder support on Say-on-Pay and other executive compensation-related proposals.

Tays speaks at executive compensation events and has authored articles on incentive plan designs, equity plan shareholder proposals, and IPO readiness.

Tays also serves on the NACD Northern California Chapter Leadership Council and is involved with sponsoring the chapter's Latino Directors Cafecito events.
