Gerald M. Czarnecki

Gerald M. Czarnecki is chair and CEO of The Deltennium Group Inc. Previously, Czarnecki led UNC, an aviation company. Prior to UNC, he was SVP of Human Resources and Administration for IBM. Czarnecki began his career in banking. He currently serves on the boards of Jack Cooper Enterprises Inc., where he chairs the audit committee; Nura Health SPC; BookKeeping Express Inc.; and ECO Building Products Inc., where he is board chair. Additionally, Czarnecki chairs the board of trustees of National University and is a member of the board of governors of Junior Achievement Worldwide. He is founder and chairman of the nonprofit National Leadership Institute. Czarnecki is a faculty member of the National Association of Corporate Directors (NACD) and chair emeritus of NACD's Florida Chapter. He is the author of seven books on leadership and governance.

Rear Admiral Marsha J. ("Marty") Evans, U.S. Navy (Ret.), served a nearly 30-year career in the U.S. Navy. Following her Navy career, she was CEO of the Girl Scouts of the U.S.A., president and CEO of the American Red Cross, and acting commissioner of the Ladies Professional Golf Association. Evans is the chair of the North Highland Co. and a director of The First Tee. She has been a director of five New York Stock Exchange-registered companies including Weight Watchers International Inc., Lehman Brothers Holdings Inc., Huntsman, AutoZone Inc., and May Department Stores Co.

Peter R. Gleason

Peter R. Gleason is president and CEO of the National Association of Corporate Directors (NACD) and serves as treasurer for the NACD board of directors. He also leads NACD's research group, which engages in substantive research projects focused primarily on studies that identify and refine leading practices to enhance board performance. As a member of NACD's national faculty, he gives presentations on a variety of subjects related to board governance, and he is regularly quoted in the national media. Gleason is currently on the advisory board of Nura Health Inc. and serves as chair of the International Professional Practices Framework Oversight Council of the Institute of Internal Auditors.

Andrew Jack has a diverse corporate and securities practice with clients principally in the energy, industrial manufacturing, technology, and sports and entertainment industries. He regularly represents corporations, board committees, and other forms of enterprises in mergers and acquisitions, strategic alliances, financing activities, securities law compliance, corporate governance counseling, and executive compensation arrangements. Jack also cochairs the firm's Clean Energy and Climate industry group.

Rear Admiral Joyce Johnson

Director, Explorers Club., Washington Chapter.; Professor, Georgetown University

Rear Admiral Joyce M. Johnson, U.S. Public Health Service (Ret.), is a physician with senior public health leadership experience in civilian and military sectors. She is a global health consultant and professor at Georgetown University (clinical and adjunct). Previously, she was vice president, Health Sciences and chief medical officer for a multibillion dollar nonprofit contract research organization. Johnson recently co-authored the book, Lizard Bites and Street Riots: Travel Emergencies and Your Health, Safety and Security (2014) and writes monthly health columns. She serves on the American Psychiatric Association's Committee on Psychiatric Dimensions of Disasters; the American Osteopathic Association's Bureau of International Osteopathic Medicine; and on the Medical Committee and local fiduciary board of the Explorers Club. She is a strategic and policy consultant to the National Science Foundation on the health care system in Antarctica.

General Lester L. Lyles entered the United States Air Force in 1968. Over the course of a distinguished career Lyles has served as program director of the Medium-Launch Vehicles Program and Space-Launch System offices (during the recovery from the Challenger accident); vice commander and then commander of Ogden Air Logistics Center; commander of the Space and Missile Systems Center; director of the Ballistic Missile Defense Organization; vice chief of staff at Headquarters U.S. Air Force; and as commander of Air Force Materiel Command. Lyles has received the Defense Distinguished Service Medal, the Distinguished Service Medal, the Defense Superior Service Medal, and the Legion of Merit with oak leaf cluster. He chairs the board of USAA and is a director of General Dynamics Corp., KBR Corp., and the Battelle Memorial Institute.

Hon. Michael Montelongo

Director, Herbalife Ltd., Exostar LLC; Trustee, Aerospace Corp.; President and CEO, GRC Advisory Services LLC

The Honorable Michael Montelongo—a career soldier, public official, and corporate executive—is president and chief executive officer of GRC Advisory Services LLC. Most recently, he was chief administrative officer and senior vice president for Sodexo Inc. Montelongo is a governance and audit committee financial expert. He is an NACD Board Leadership Fellow and serves on public, private, and nonprofit company boards. Montelongo was an appointee of President George W. Bush, serving as the 19th assistant secretary for financial management and chief financial officer of the US Air Force. He is a lifetime member of the Council on Foreign Relations.

Stuart Parker is chief executive officer of USAA, one of America's leading financial services companies. The association owns or manages assets of $240 billion and has been serving military families since 1922, offering its more than 11.9 million members a comprehensive range of insurance, banking, investment products, financial advice and planning, and services. Parker joined USAA in 1998, where he has served as president of USAA's Property and Casualty company, chief financial officer, and chief operating officer before becoming chief executive officer in 2015. Parker served in the U.S. Air Force for nearly 10 years and flew combat missions during Operations Desert Shield and Desert Storm.

Warren R. Phillips

Lead Director and Chair of the Audit Committee, CACI International Inc.

Warren R. Phillips is a director of CACI International Inc. He served as CFO of the Albanian-Macedonian-Bulgarian Oil Pipeline Corp., a $1.5 billion crude-oil pipeline developer. Earlier, he was CEO and chair of Advanced Blast Protection Inc., which produced conventional and unconventional bullet-resistant glass, modular vehicle armor, and specialized armored vehicles. Phillips also served as executive vice chair and CFO of Maryland Moscow Inc., a 501(c)(3) educational and financial training venture in the newly evolving countries of the former Soviet Union. Phillips has been a professor of Government and Politics at the University of Maryland, where he also served as AVP for Administration for the University System and as VP for Academics for the University of Maryland, Baltimore County.

Francis Pileggi

Francis Pileggi is an attorney who practices primarily in the areas of corporate and commercial litigation in Delaware and Pennsylvania. His litigation practice emphasizes representation in high-stakes disputes of corporations, stockholders, members of boards of directors, members and managers of LLCs, and those with managerial or ownership interests in other forms of entities. He has extensive experience in matters involving fiduciary duties and corporate governance as well as summary proceedings under the Delaware General Corporation Law. Pileggi is also a certified mediator. Pileggi is the creator of the Delaware Corporate and Commercial Litigation Blog, which was named one of LexisNexis' Top 25 Business Law Blogs and was selected for inclusion in the ABA Journal's Blawg 100 in 2011 and 2012.

Michael Pocalyko is a decorated U.S. Navy pilot and a retired commander. Pocalyko is CEO of Monticello Capital LLC, chair of Enterprise Applications Inc., and managing partner and a director of Special Investigations Ltd. He was a corporate director and the audit committee chair at Herley Industries Inc. and also at Challenger Corp. Pocalyko previously chaired Erdevel Europa SARL in Luxembourg and Saudi Arabia, TherimuneX Pharmaceuticals Inc., and Advanced Environmental Resources Inc. He is a certified fraud examiner and a Sarbanes—Oxley audit committee financial expert. Pocalyko is also an author—his best-selling novel, The Navigator (2013), is a financial thriller. He is a member of the NACD Board Advisory Services and teaching faculty, and an NACD Board Leadership Fellow.

Gregory Pratt serves as chairman of the board of Carpenter Technology Corp., a high temperature alloy and specialty steel manufacturer, where he previously held roles of lead director, governance, and audit committee chairs, as well as interim president and CEO. He also serves as governance committee chair at Tredegar Corp. Previously, Pratt was vice chairman of OAO Technology Solutions Inc. He was recently selected to serve on the Public Company Accounting Oversight Board's standing advisory group for a three-year term.

Philip Smith is KPMG LLP's National Audit Industry Leader–Industrial Manufacturing, which focuses on clients in a variety of industries including those in the automotive, aerospace and defense, engineering and industrial products, transportation, and metals industries as well as conglomerates. In this role, Philip is responsible for KPMG's audit strategy, execution, training, and market development, as well as for building the KPMG brand through the creation of leading industry services and thought leadership to support the largest industrial manufacturers in the U.S.

Henry Stoever

Henry Stoever is the chief marketing officer for the National Association of Corporate Directors (NACD). As a customer-centric marketing professional, Stoever has more than 20 years of leadership experience in public, private, and nonprofit companies. At NACD, his team is focused on clearly articulating unique value to NACD members and prioritized projects. Stoever is a former U.S. Marine Corps infantry platoon commander and company executive officer. He was awarded the U.S. Navy's Commendation Medal with Combat "V" for leading Marines in action during Operation Desert Shield and Operation Desert Storm.

The Honorable Karen Valihura serves on the Supreme Court of Delaware. She was a partner at Skadden, Arps, Slate, Meagher & Flom LLP and while a practicing lawyer was consistently selected for inclusion in Chambers USA: America's Leading Lawyers for Business and The Best Lawyers in America. Valihura was on the John L. Weinberg Center's Corporate Governance Advisory Board and chaired the Delaware Supreme Court's Board on Professional Responsibility and the Delaware Supreme Court's Permanent Ethics Advisory Committee on the Delaware Rules for Professional Conduct. Valihura served on the Corporation Law Council of the Corporation Law Section of the Delaware State Bar Association. She was board president of the Delaware Special Olympics and of the Delaware Bar Foundation. She is a member of the American Law Institute and has been named to the NACD Directorship 100.

Steven R. Walker

Steven R. Walker is general counsel of NACD and managing director of NACD's Board Services Group. He leads the Board Advisory Services faculty in providing counsel to board leaders and C-suite executives on a wide range of strategic governance matters. Walker has served as a senior executive or general counsel to entities ranging from private equity backed corporations to the Fortune 100. Steve also served as an Attorney-Advisor to the U.S. Securities and Exchange Commission from 2001 to 2004. Walker is a frequent public speaker on the topics of board governance, performance, composition, and strategic influence. He currently sits on the boards of Objective Interface Systems Inc. and ContractRoom. He has served on the Orange Bowl Committee, the Association of Corporate Counsel–Michigan Chapter, and the Friends of the Gusman Center for the Performing Arts–Miami. Walker has been designated a Board Leadership and Governance Fellow by NACD.

Kelly J. Ward

Associate Dean of Academics and Professor, National War College

Dr. Kelly J. Ward is associate dean of Academic Programs at the National War College and an adjunct professor of Economics at Johns Hopkins University. Ward retired as a colonel from the U.S. Army after a 26-year career as an Armor/Cavalry officer, ultimately serving as the director, Commander's Action Group, for the Army Surgeon General and MEDCOM Commander. Previously, Ward was a professor of Economics at The Eisenhower School, National Defense University. He also served as the chief of business operations, Army Office of Business Transformation, Office of the Under Secretary of the Army. Ward was an academy professor of Systems Engineering and Acquisition Systems Management at the United States Military Academy from 2007–2010, and an assistant professor of Economics from 1998–2000. His overseas assignments include Germany, Kuwait, and Iraq.
