NACD has commented on ISS' proposed 2016 voting policy updates, specifically, its update related to director overboarding.  NACD observes that boards know best how much time they require of their directors, and imposing a numeric restriction on individual director candidates is not the optimal approach.  NACD urges ISS to consider revising this update in such a way as to challenge boards to address this issue in their own governance guidelines.
