The NACD Cyber-Risk Oversight Program consists of 3 modules, a cyber-crisis simulation exercise, and a final exam. The course is expected to take approximately 16 hours to complete. Participants can take the course at their own pace. The final exam must be completed within one year of registration in order to earn the CERT Certificate in Cybersecurity Oversight.
Module 1: Overview of Cybersecurity Leadership (6 hours)
Cybersecurity governance at the management level, threats and controls, risk management and analysis, business continuity, disaster recovery, and more.
Module 2: Effective Security Structure and Operations (4 hours)
The necessary components of a high-performing security program aligned with the organization’s mission.
Module 3: Cybersecurity Oversight for Corporate Directors (3 hours)
Duties and responsibilities of directors as they work with senior leadership on security oversight.
Cyber-Crisis Simulation (3 hours)
Table-top exercise to evaluate the level of preparedness of directors and senior executives to manage various cyber events.
Participants must pass the Certificate Exam to earn the CERT Certificate in Cybersecurity Oversight.

Participants who complete the course and pass the final exam will be issued the CERT Certificate in Cybersecurity Oversight. The certificate is issued by the Software Engineering Institute at Carnegie Mellon University and provides a tangible credential to demonstrate your commitment to advanced cybersecurity literacy to your management team, your customers, your investors, your peers, regulators, and lawmakers.
You can showcase your CERT Certificate on your resume and in your LinkedIn profile to demonstrate your advanced understanding of the board’s and management’s roles in cyber-risk oversight. If you serve on the board of a public company, your CERT Certificate can be highlighted in proxy statements and other regulatory filings.
The CERT Division is part of the Software Engineering Institute, based at Carnegie Mellon University. CERT collaborates with high-level government organizations, such as the U.S. Department of Defense and the Department of Homeland Security (DHS); law enforcement, including the FBI; the intelligence community; and many industry organizations to improve the security and resilience of computer systems and networks.
NACD Fellowship® Credits: 22 Skill
This program offers Fellowship Credits for NACD members working toward attaining or maintaining NACD Fellowship—The Gold Standard Director Credential®.
NACD Fellowship® is the highest standard of credentialing for corporate directors. NACD Fellows, who earn and maintain this distinguished director credential, stand within the highest echelon of those committed to excellence in the boardroom and are recognized by NACD, investors, regulators, and the director community. NACD members who are working toward attaining or maintaining their NACD Fellowship will accrue 22 Skill Fellowship Credits upon earning the CERT Certificate in Cybersecurity Oversight.

CEU = 2 credits
The CEUs assigned to this eLearning course are calculated according to the IACET guideline for Self-Paced Programs, which is an average time to completion of the online program based upon the learning experience of 5 individuals. Because the CEUs of self-paced programs are based upon the training consumption time of learners, the eLearning CEUs potentially differ from that of a classroom delivery of the same content, which is based upon the instruction time of the instructor. One CEU credit equals 12 CPE credits.
Payment and Refund Policy

NACD will refund the fee paid by User for the Course(s) only if there is a material defect or technical problem causing a prolonged delay in completion of the course(s). A refund will be paid only if NACD has been promptly notified of the material defect or technical problem, and it has not been rectified within 48 hours of such notification.
