Irene Chang Britt is the CEO of ICB Enterprises LLC and a former Fortune 500 Cřsuite executive. She has a distinguished track record at companies such as Campbell Soup Co., Kraft Foods, Nabisco, and Kimberly-Clark, and was, most recently, president of Pepperidge Farm. She has also held key positions in strategy, and served as chief strategy officer for Campbell Soup Co., globally. Britt currently serves as an independent director of three public companies: she chairs the nominating and corporate governance committee of both Bright Financial Inc. and Dunkin’ Brands Group Inc. and she serves on the board of Tailored Brands Inc. Additionally, she is board chair of BayBridge Seniors Housing. Her nonprofit board service includes the NACD New York Chapter and Catalyst’s advisory board. Jim DeLoach is a managing director with Protiviti Inc. His market focus is on assisting companies with improving corporate governance and integrating risk management with strategy setting, business planning, and performance management. DeLoach is the author of several books and he has published more than 300 articles. Widely quoted in the press, he has served on the COSO Advisory Council for 10 years and contributed to the development of several frameworks, including the 2013 update to the Internal Control—Integrated Framework and the more recent Enterprise Risk Management Framework update. DeLoach has delivered numerous presentations on governance and risk management matters to hundreds of companies and to groups in 30 countries. In 2017, for the sixth straight year, DeLoach was named to the National Association of Corporate Directors’ Directorship 100 list, recognizing him as one of the 100 most influential governance professionals in the boardroom community.

John Hotta is a retired technology executive and private investor. He began his career conducting artificial intelligence research at the RAND Corp. and subsequently held leadership positions at Accenture and Microsoft, from which he retired. He is a board director at the Seattle Foundation. As a National Association of Corporate Directors’ Board Advisory Services faculty member, he discusses various technology issues, including cybersecurity, big data, cloud, and mobile. The Financial Times named Hotta as one of the Agenda Digital 50.

Additionally, she chairs the audit committee and serves on the compensation committee of Darden Restaurants Inc. She chairs the corporate governance committee and serves on the audit committee of BigLots Inc. Prior to her full-time board service, Jamison was CFO of AquaSpy Inc. She has also served as a managing partner with Tatum LLP, where she managed the firm’s CFO Services practice and was a member of the operating committee. James Lam is the president of James Lam & Associates and a director of E*TRADE Financial Corp., where he chairs the risk oversight committee and serves on the audit committee. Lam is also an independent director of RiskLens. He previously served as founder and president of ERisk, partner of Oliver Wyman, chief risk officer of Fidelity Investments, and chief risk officer of GE Capital Markets Services. Lam has been named the inaugural Risk Manager of the Year by the Global Association of Risk Professionals (1997), to the “100 Most Influential People in Finance” by Treasury & Risk magazine (2005, 2006, and 2008), and to the NACD Directorship 100 (2017). David A. Wilson currently serves as lead independent director of CoreSite Realty Corp. and is a director of Barnes & Noble Education Inc.; he chairs the audit committees of both companies. Wilson also has served as a director of Barnes & Noble Inc., Terra Industries Inc., and Laureate Education Inc. From 1995 to 2013 he served as CEO of the Graduate Management Admission Council (GMAC), a nonprofit education association that provides the Graduate Management Admission Test, or GMAT. Prior to GMAC, Wilson was a managing partner with EY and served as the firm’s national director of professional development. He has been a faculty member of Queen’s University, the University of Illinois at Urbana-Champaign, the University of Texas where he was tenured, and Harvard Business School. Allen R. Zeman is the president of the Center for Human Capital Innovation (CHCI). He is also an associate at the Spectrum Group. Zeman formed CHCI after a 20-year, SES-level government career. Zeman served as the director of Naval Training and Education (N7). Prior to that, he worked for the secretary of the Navy as the director of manpower and training. Prior to these assignments, he deployed for three years to various Navy commands in the Pacific Fleet and for four months with the Marine Expeditionary Unit in support of operations in the former Socialist Federal Republic of Yugoslavia. His last government assignment was as the chief economist for the Iraqi reconstruction effort in Baghdad. Zeman also served as senior advisor to the deputy prime minister of Iraq and was vice president of an international development firm supporting USAID.

The National Association of Corporate Directors is registered with the National Association of State Boards of Accountancy (NASBA) as a sponsor of continuing professional education on the National Registry of CPE Sponsors. State boards of accountancy have final authority on the acceptance of individual courses for CPE credit. Payment, Cancellation, and Transfer Policy

Event registrations are not guaranteed until payment is received. Each cancelled registration will be assessed a $500 cancellation fee. Cancellations must be received in writing no fewer than 30 calendar days before the event start date in order to qualify for a partial refund. If written notice is given within 29 calendar days of the event start date, registrants will forfeit the entire program fee unless it is transferred to another NACD program pursuant to the following transfer policy.

Application for transfer credit must be received within 30 calendar days of the date on which NACD receives written notice of cancellation. Transferred credit (less the $500 cancellation fee) will apply only to eligible NACD programs that occur within 12 months of a cancellation.
