NACD Board of Directors
Karen Horn is a director of Simon Property Group Inc. and chair of their nominating and corporate governance committee. She also serves as vice chair of the U.S. Russia Foundation for Economic Development and the Rule of Law, and as chair of the National Bureau of Economic Research. Horn is a former director of Norfolk Southern Corp., where she served as chair of the audit committee, of Eli Lilly, where she served as lead director and chair of the compensation committee, and of T. Rowe Price Mutual Funds. She is a partner of Brock Capital Group and was a commissioner of the NACD Blue Ribbon Commission (BRC) on the Effective Lead Director and co-chair of the BRC on the Board and Long-Term Value Creation. Previous positions have included Head of International Private Banking for Bankers Trust, Chairman and CEO of Bank One, Cleveland, and President of the Federal Reserve Bank of Cleveland. She has a PhD in economics from the Johns Hopkins University.
Peter Gleason is the President and CEO of the National Association of Corporate Directors (NACD). Gleason is a recognized expert on board leadership and corporate governance issues. He serves as a member of NACD's national faculty, is regularly quoted in the national media, and is a frequent presenter on the subjects of corporate governance, executive and director compensation, risk, strategic planning, and board/shareowner relations. He has served as a commissioner on every NACD Blue Ribbon Commission report issued over the past 16 years, including the most recent releases on The Strategic Asset Board, Long Term Value Creation, Strategy Development, Talent Development, and Board Diversity. Peter currently serves on the board of NACD and on the advisory board of Nura Health, Inc., a development-stage health-care company. Gleason is also a director of the NACD Capital Area Chapter, Deputy Chair of Global Network of Director Institutes, and is a NACD Board Leadership Fellow. He is the former chair of the International Professional Practices Framework Oversight Council of the Institute of Internal Auditors and was formerly a director of The Patriot Fund.
Before joining NACD, Gleason was a management consultant with both Ernst & Young and Pritchett & Associates. In addition, he served as Vice President and Director of U.S. Research for Institutional Shareholder Services.
Gleason is a graduate of Dartmouth College and Virginia Tech, from where he has a MBA with concentrations in both Finance and Marketing.
Sue Cole is a director of Martin Marietta Materials, Inc. where she serves as chair of the Nominating and Governance Committee. In addition, she serves on the boards of Biscuitville Inc. and Diversified Trust Company. A founding director and past president of NACD's Carolinas Chapter, she continues to be on several non-profit boards, including United Way of Greater Greensboro and the Greensboro Science Center. Ms. Cole is currently the managing partner of SAGE Leadership & Strategy LLC, a boutique advisory firm she founded in 2011 to advise family businesses and large non-profits on strategy, leadership development and governance. She has more than 35 years of experience in the financial services industry, including corporate lending and wealth management. Prior to founding SAGE, she was a principal with Granville Capital Inc. for five years. She served as regional CEO for the Mid-Atlantic at United States Trust Company N.A., where she was responsible for the strategic direction, growth, and leadership of five offices in North Carolina, Philadelphia, and Washington, DC. She also served as president of North Carolina Trust Company, the predecessor to U.S. Trust Company of North Carolina. Early in her career, she was a senior vice president at North Carolina National Bank, where she oversaw corporate banking services in the Greensboro area and also managed the retail branch system. A graduate of the University of North Carolina at Greensboro, Ms. Cole earned her B.S. in Business Administration in 1972 and her M.B.A. in Finance in 1977.
Cari Dominguez is a corporate director of ManpowerGroup (NYSE: MAN) and Triple-S Management Corp. (NYSE: GTS), the leading managed care company in Puerto Rico with exclusive rights to the BlueCross BlueShield trademark. She is also a trustee of the Calvert SAGE Fund, and former chair of the U.S. Equal Employment Opportunity Commission (EEOC). She has also served in the U.S. Department of Labor in roles including Assistant Secretary of Labor for Employment Standards and director of the Office of Federal Contract Compliance Programs. Her corporate experience includes various senior human resources positions at Bank of America, including director of executive programs. She was also a partner at two international executive search firms, serving in their financial services, human resources, and corporate board practices. Dominguez has served on numerous nonprofit boards, including Loma Linda University and Medical Center, the Leadership Foundation of the International Women’s Forum, and the Human Resources Planning Society. She has received numerous awards and national recognition for her public policymaking roles and global efforts to promote diversity. Hispanic Business magazine has recognized her as one of the “80 Elite Hispanic Women” and one of the “100 Most Influential Hispanics in the Country.”
Nick Donofrio currently serves on the boards of Advanced Micro Devices Inc. and Delphi Automotive plc, and chairs the innovation and technology committee for both companies. In addition, he sits on the board of Bank of New York Mellon, where he chairs the technology committee, and is a director of Liberty Mutual and The MITRE Co. Mr. Donofrio brings to NACD a wide range of executive management skills and significant technological expertise. He began his career in 1964 at IBM, where he remained for 44 years in increasingly responsible roles, including those of division president for advanced workshops, general manager of the large-scale computing division, and executive vice president of innovation and technology. In 2008 he was elected an IBM Fellow, the company's highest technical honor, and in the same year received the first U.S. National Nuclear Security Administration Gold Medal ever conferred on a non-U.S. government employee. He has long been focused on advancing educational and career development opportunities for underrepresented minorities and women in the STEM disciplines, a commitment that has been recognized with numerous honors and awards. He is also a member of the National Academy of Engineering, a Fellow of the American Academy of Arts and Sciences, a Fellow of Britain's Royal Academy of Engineering, and the 2010 recipient of the IRI Medal. Recently he chaired a National Academy of Engineering initiative that resulted in the March 2015 release of a report titled Making Value for America: Embracing the Future of Manufacturing, Technology, and Work.
Brenda Gaines currently serves as the audit committee chair for Tenet Healthcare and on the board of Southern Company Gas. She previously served on the boards of AGL Resources, the Federal National Mortgage Association (Fannie Mae), Nicor, and Office Depot. She was president and chief executive officer of Diners Club North America, a division of Citigroup Inc., until her retirement in March 2004, and held a number of senior management positions within Citigroup. Gaines is a delegate to the NACD Audit Committee Chair Advisory Council, served on the NACD Chicago Chapter board, and was recognized as an NACD Directorship 100 honoree in both 2011 and 2012.
Raymond V. Gilmartin is the former Chairman, President and Chief Executive Officer of Merck & Co., Inc., a global research driven pharmaceutical company that discovers, develops, manufactures and markets innovative vaccines and medicines. Mr. Gilmartin joined Merck as President and Chief Executive Officer in June 1994 and was named to the additional position of Chairman of the Board in November 1994. Shortly after retiring from Merck in 2006, he joined the faculty at Harvard Business School where he taught in the MBA and executive education programs through 2012. Prior to joining Merck, Mr. Gilmartin served as Chairman, President and CEO of Becton Dickinson, a global company that develops, manufactures and markets medical devices and diagnostic products. He joined that company in 1976 as vice president, strategic planning, and took on positions of increasing responsibility over the next eighteen years.
Mr. Gilmartin is on the board of the National Association of Corporate Directors. He has served as the Lead Director for Microsoft and General Mills. He is a trustee of the Committee for Economic Development. He is the past Chairman of the Board of The United Negro College Fund and has served as Chairman of the Board of Dean's Advisors for the Harvard Business School.
Mr. Gilmartin has been an active participant in health industry affairs worldwide. Mr. Gilmartin was co-chair of the Presidential Advisory Council on HIV/AIDS, is a past chair of the Healthcare Leadership Council and was a board member of the Alliance for Healthcare Reform. In addition, he is the past chair of the Pharmaceutical Research and Manufacturers of America and a past president of the International Federation of the Pharmaceutical Manufacturers Associations. Mr. Gilmartin also has been involved in global economic and trade issues that concern the pharmaceutical industry. He was a member of the President's Export Council and is a past chair of the Council on Competitiveness. Mr. Gilmartin received a BS in electrical engineering from Union College in 1963 and an MBA from Harvard Business School in 1968.
From January 2010 to January 2013, Bill McCracken was chief executive officer at CA Technologies, one of the world's largest information technology management software companies. He is now an executive advisor to the company. Bill joined CA Technologies Board of Directors in 2005, and held the roles of both non-executive and executive chairman from 2007 – 2010.
Prior to joining CA Technologies, Bill held numerous executive positions at IBM during his 36-year tenure. He served as a member of the Chairman's Worldwide Management Council and general manager of IBM's printing division. Prior to those roles, he was president of IBM's EMEA and Asia PC Company, and a general manager of marketing, sales and distribution for IBM PC Company.
Bill is currently a member of the Board of Directors of MDU Resources Group, is the president of Executive Consulting Group, LLC, and was a director of IKON Office Solutions.
In 2009, Bill was named by NACD Directorship magazine as one of the top 100 most influential people in the boardroom, and in 2010 was also named to the NACD board. He was a commissioner of the NACD Blue Ribbon Commission (BRC) on Risk Governance, was co-chair of the BRC on Board Diversity, was a member of the BRC on Talent Development, and co-chair of the BRC on the Board and Long-Term Value Creation. Bill was the New York Vice-Chair of CEOs Against Cancer and a member of the Business Roundtable. He is a member of the Economic Club of New York.
Bill is the chairman of the board of Lutheran Social Ministries of New Jersey, and serves on the board of PENCIL, a nonprofit organization that partners businesses with public schools in New York City. He is the New York chairman of the Chairmen's Forum, and is a member and vice-chairman of the board of the Millstein Center for Global Markets and Corporate Ownership at Columbia.
M. Christian Mitchell currently serves as the chair of the board of Reis Inc., as the lead independent director of Western Asset Mortgage Capital Corp., and as a member of numerous private company boards, including Stearns Lending (Blackstone) and Parsons Corp. He retired from Deloitte as a senior partner in 2003, where he served as a national managing partner or regional managing partner for various practices during his 26-year career. He is the chair of the NACD Southern California Chapter. Mitchell is an NACD Board Leadership Fellow, and was named to the NACD Directorship 100 in both 2011 and 2012.
Charles H. Noski retired as vice chairman of Bank of America Corp. in September 2012. Previously, Mr. Noski served as executive vice president and CFO, with responsibility for all finance functions as well as Corporate Treasury, Global Corporate Strategy Planning and Development, Investor Relations, Corporate Investments and Global Principal Investments.
Mr. Noski is a director of Microsoft Corp., chairman of the audit committee, and a member of the governance and nominating committee. Mr. Noski is also a director of Booking Holdings Inc., chairing the audit committee, and is a director, chairman of the audit committee, and a member of the nominating and corporate governance committee of Avon Products, Inc. For various periods from 2000 to 2014, he was a director of Air Products & Chemicals, Inc., Automatic Data Processing, Inc., Avery Dennison Corporation, and Morgan Stanley, serving on executive, audit, and compensation and management development committees, as well as finance and nominating and corporate governance committees.
From 2003 to 2005, Mr. Noski was corporate vice president and CFO of Northrop Grumman Corp., and was a director from 2002 to 2005. From 1999 to 2002, Mr. Noski served as senior executive vice president and CFO of AT&T Corp. and was elected vice chairman of AT&T's board in February 2002. He retired from AT&T upon the completion of its restructuring in November 2002.
Prior to joining AT&T, Mr. Noski was president, chief operating officer, and a member of the board of directors of Hughes Electronics Corporation, a publicly-traded subsidiary of General Motors Corporation in the satellite and wireless communications business. From 1992 to 1996, he was corporate senior vice president and chief financial officer of Hughes and was elected vice chairman in 1996. Mr. Noski was a partner with Deloitte & Touche prior to joining Hughes as corporate vice president and controller in 1990.
Mr. Noski is a member of the American Institute of Certified Public Accountants, Financial Executives International, and the Audit Committee Leadership Network-North America. He is Chairman of the Financial Accounting Foundation and a past member of the Standing Advisory Group of the Public Company Accounting Oversight Board. In 2006, Mr. Noski was inducted into the inaugural class of the Financial Executives International Hall of Fame.
