Board Evaluations
Instituting Board evaluations is becoming increasingly critical in determining board effectiveness and improving performance. NACD is an objective peer to peer resource for conducting your evaluations in a confidential manner. Board Advisory Services conducts full board, committee, director-peer and self, and senior management evaluations. NACD utilizes governance professionals and sitting directors to facilitate the process and deliver the results in a confidential manner. We also provide clearly defined metrics for improving communications and board performance.
Board Succession Planning - New Program
This customized program equips boards to implement a plan of board succession by examining your board's individual director skill sets and overall board composition in relation to the organizations mission, risk modeling and overall strategy. Our esteemed faculty of governance professionals and sitting board members will perform a proprietary board survey, followed by expert analysis and delivery of the results through a facilitated In-Boardroom discussion. This discussion will include instruction on how to design a skill set succession matrix to fill current and future board seats. Public company boards receive the added value of learning how to complement their current shareholder communications by meeting and exceeding the regulatory requirements for enhanced Proxy disclosure.
Director Professionalism® One-Day Certificate Program
This is a condensed eight hour version of our hugely popular two-day course that is customized to your organization and delivered by sitting directors and other experts in a location of your choice. Role of the Board and Management
This program explores the complex interrelationship of the board and management. While it is important to understand their similarities, it is crucial to understand their differences to ensure a well-balanced company. Special emphasis will be placed on strategy and risk.
Role of the Board in Corporate Strategy and Risk
This program offers principles and leading practices for enhancing the board's role as a strategic asset to the corporation as well as a practical guide to identifying and providing effective oversight for major types of corporate risk — fiscal, physical and informational – as well as dealing with crises when they do occur.
Role of the Board in Crisis: Preparation, Response and Post Crisis Evaluation
A crisis can be defined in many ways. This program first explores the board's role in overseeing the development of a crisis plan and crisis team. We then discuss how to deal with a current crisis. Finally, we discuss how to conduct a post crisis evaluation of the plan and response.
Fiduciary Responsibilities
This session includes why board members are legally obligated to act on behalf of an organization's shareholders to ensure that the company is properly managed and describe the corporate law to which boards are held accountable. Attention is given to the ability of independent directors to be active and informed concerning material risks that face the company, recognizing they must rely on management to provide the information they need. We demonstrate why — in the current liability environment — compliance is necessary, but not sufficient, to protect directors.
Financial Statements: Fundamental Questions Every Director Should Ask
This program explores the fundamental questions directors should ask and know about the organization's financial statements, whether or not the director is a financial expert. The program is tailored to the individual organization.
Board Effectiveness: Improving Communication and Decision Making
Discuss effective communication methods and processes that will help your board eliminate barriers to productivity and decision-making. Learn the most effective procedures for setting board agendas, communicating between meetings, and establishing expectations for director roles and responsibilities.
Role of the Board in Mergers & Acquisitions
This program focuses on the duties and responsibilities of board members in determining whether a merger or acquisition is in the best long-term interest of the shareholders and whether to recommend it for approval.

Audit Committee: Improving Quality, Independence, and Performance
Ensure that you and your audit committee are completely up to speed on today's issues. Clearly define committee goals, processes and responsibilities.
