Code of Conduct and Educational Values Pledge

For directors applying for the Certificate of Director Education through the NACD Corporate Directors Institute

As a fiduciary, I have duties of care, loyalty, and good faith on behalf of shareholders and other stakeholders. In seeking to receive a certificate from the Corporate Directors Institute of the NACD, a not-for-profit educational organization for board members and advisors, I affirm the value of ongoing director education in fulfillment of my fiduciary duties. As a director receiving this certificate, I will strive to consistently and continuously fulfill these duties.

To demonstrate my ongoing engagement in corporate governance, and in order to stay abreast of critical issues, I will maintain my Certificate of Director Education by completing eight hours of continuing education annually.
