An Overview

For over three decades, the National Association of Corporate Directors has provided vital leadership on corporate governance practice in both public and private U.S. companies. The NACD Corporate Directors Institute continues that tradition.

Recognizing that good governance is ultimately a personal choice of courage and integrity, the Institute is not a requirement of directorship. Rather, it is a forum where even the most experienced corporate directors make a personal commitment to raise the bar and stay current on the ever-changing corporate governance landscape.

The Institute offers a nationally-recognized continuing education curriculum and certificate program for corporate board members who are committed to practicing engaged, effective, and ethical corporate governance. Directors may earn the Certificate of Director Education by completing the 2-day Director Professionalism Course. The intensive curriculum for this course is based on three decades of NACD research and in-boardroom experience, as well as current legal developments, regulatory factors, and documented leading practices.

Certificates are maintained by earning 16 CDE credits every 2 years through Continuing Education Programs. Directors may select from a comprehensive menu of high quality programs that are offered by the Institute as well as by other providers such as leading universities. It is not necessary to obtain the Certificate of Director Education to participate in the Institute's continuing education programs. However, NACD recommends obtaining the certificate as a first step, since it provides a comprehensive grounding in governance. The Certificate program can also help corporate governance leaders set and fulfill education goals for the whole board.

The Institute Faculty are themselves experienced corporate directors and seasoned governance professionals. They are knowledgeable about governance, but also skilled in facilitating the exchange of valuable knowledge between participants.

An Independent Advisory Board provides independent oversight and advice to the Institute, ensuring that the curriculum and the policies are current and relevant. Members of the Independent Advisory Board are preeminent governance experts, thought leaders and educators.
